Terms of Use

Dated October 23, 2026

Draft — pending legal review. The operating entity and the governing law are placeholders until the final version is published.

Please read these Terms carefully. They explain what Rugless is, what you can and cannot do with it, and the risks of using crypto assets.

1. About Rugless

Rugless is a software interface that aggregates token launchpads on Robinhood Chain, an EVM network, and adds a social layer on top: profiles, a feed, a leaderboard and token sales (Customsale and Curvesale). These Terms govern your use of the Rugless website and app (the "Service").

Rugless is not the issuer of any token you see in the Service, and it is not an exchange, a broker, a bank, an investment adviser or a financial institution. Tokens are launched and traded on third-party launchpads and smart contracts that Rugless does not control. Those third parties have their own terms, and you accept them when you use them.

By creating an account, joining the waitlist or otherwise using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

2. Eligibility and restricted jurisdictions

You must be at least 18 years old and have the legal capacity to enter into a binding agreement. You must not be a person or entity on a sanctions list, or owned or controlled by one.

The Service is not offered in jurisdictions subject to comprehensive sanctions, currently Cuba, Iran, North Korea, Syria and the Crimea, Donetsk and Luhansk regions of Ukraine, or to residents of those places. Using a VPN or any other method to get around a restriction is prohibited.

Some assets and features have extra eligibility rules set by the people who issue or run them. For example, tokenized stocks and similar products can be unavailable to people in the United States, the European Union or other regions. Rugless mirrors those limits where it can, but being able to see or trade something on chain does not mean you are allowed to. You are responsible for checking that you are eligible.

Customsales and Curvesales (together, "sales") are covered separately in the Customsale and Curvesale section, including the rules for United States persons.

3. Your account and login

You sign in with X or Telegram. Login is handled by our authentication provider, Privy. We receive the identity details described in the Privacy Policy and use them to create and secure your account. Keep control of the login accounts you use with Rugless, because whoever controls them can sign in as you.

Each person may have one account, and each account has one wallet. Do not create several accounts to gain an advantage in rewards, rankings or sale allocations. You must not sell, rent or transfer your account or your handle.

Your handle is public. We may change, reclaim or remove a handle or other profile content that is misleading, impersonates someone, infringes rights or breaks these Terms.

4. Your wallet

When you create an account, an Ethereum-compatible wallet is automatically generated for you. You can export your private key from Settings at any time. Exports require a live login and are rate limited. Anyone who has your private key controls your funds, so never share it. Rugless will never ask for your private key or your login credentials, by any means.

There is no option to connect an external wallet. Your Rugless wallet is the only wallet linked to your account.

The assets in your wallet are not used for our own purposes, are not insured or guaranteed by any deposit protection scheme, and earn no interest from us. We are not a bank.

Transactions on a blockchain are generally irreversible. Do not keep more in your Rugless wallet than you are prepared to lose.

You alone are responsible for your wallet. Export your private key, store it safely and keep your own copy. Move any assets you want to keep to a wallet you control. Access to the Service and to the export feature can be interrupted, limited or ended at any time, so do not rely on them being available. Do not use your Rugless wallet as long term storage.

Rugless does not answer for any wallet or for any movement of assets in it, including transfers you make or that are made with your login or your private key, transfers to wrong addresses, losses caused by phishing, malware, a compromised login account or a lost key, and failures of the blockchain, of third party services or of smart contracts. To the fullest extent the law allows, you accept that risk by using a wallet created through the Service.

5. Pre-launch and simulated features

Rugless is in pre-launch. Some features run on simulated balances and synthetic market data while the production integrations are being finished. Where this applies, the interface says so. Simulated balances have no monetary value and cannot be redeemed, withdrawn or transferred.

Joining the waitlist does not give you any right to access, an allocation, a reward or a sale spot, and we may open access in any order and to any number of people, or not at all.

6. Customsale and Curvesale

A Customsale or a Curvesale (a "sale") lets a token creator raise ETH before a token launches. A Customsale has parameters chosen by the creator, and a Curvesale uses a fixed preset. Contributions go to a sale smart contract with rules fixed when the sale is published. Once published, the economic parameters (the caps, the token allocation and the reward percentages) cannot be edited by anyone, including Rugless.

Before you contribute, understand that:

  • a sale may fail to reach its goal or may never launch, and you can be refunded only in the cases the contract provides for, for example when a soft cap is missed or the sale is cancelled;
  • tokens, if delivered, are delivered pro rata after the launch, and nobody promises a price, liquidity or a way to sell;
  • creators are solely responsible for their projects, their statements and their tokens, and a listing on Rugless is not a review, an audit or an endorsement;
  • a sale can resemble an investment, and in some countries it can be treated as an offering of securities. Laws differ by place and change over time, and you are responsible for following the ones that apply to you;
  • smart contracts can contain bugs, even when audited, and a bug can cause a total loss;
  • reward pools, such as the pool released to top holders at market cap milestones, follow the contract rules. They are not promised income and can be worth nothing.

United States persons: before any contribution we ask you to read and accept a disclosure about the nature of the product and the risk you take on. We record your acceptance with a timestamp, your IP address and the version of the document. If you are a United States person, do not contribute unless that acknowledgement is offered to you and you accept it. We may refuse or limit participation at any time to comply with the law.

Sales of tokens that represent or track real world assets, such as stocks, may carry additional restrictions that apply regardless of where you live.

7. Rugless emergency powers

To react quickly to fraud or a serious problem, Rugless holds emergency powers over sales. Through a multisignature wallet, and never through a single account, Rugless can force a sale to finalize, force its launch, or cancel it, outside the normal conditions. Rugless can also hide a sale or token from its listings and can ban the accounts of people who break these Terms.

These emergency actions do not wait for a public timelock, because a delay would make them useless in an emergency. This is a deliberate trade-off: it adds centralization compared with the rest of the system. Even so, Rugless cannot change a sale's caps, allocation or reward percentages, and each emergency action emits an on-chain event that anyone can check. Upgrades to the shared sale contracts are different: they go through a multisignature owner and a public timelock.

By taking part in a sale you accept that these powers exist and that using them in good faith is not a breach of any obligation to you.

8. Launchpads, networks and third-party services

Rugless connects to third-party launchpads (such as Pons, Flap and Doppler), to Robinhood Chain and to other infrastructure such as RPC providers and login providers. They are independent, we do not control them and we do not endorse them. They can change, fail, delay or stop working, and we are not responsible for what they do.

When you use a launchpad through Rugless, that launchpad's terms apply to you in addition to these Terms. Some launchpads forbid certain uses, such as capital raises or pooled investments on their own platforms. Check them before you use a feature that depends on them.

9. Fees and taxes

Using the blockchain costs network fees (gas) that go to the network and not to Rugless. Launchpads and liquidity pools can charge their own fees, and the price you get can differ from the quote because of slippage. Rugless may charge fees for some features, and any Rugless fee is shown to you before you confirm.

You alone are responsible for working out and paying the taxes that apply to what you do. Rugless does not collect, report or pay taxes for you.

10. Leaderboards, rankings and social features

Profiles, follows, posts, rankings and performance numbers are shown to help people discover traders and tokens. They are informational, they can be wrong or out of date, and they are not advice.

Do not manipulate them. That includes trading with yourself, coordinating trades to fake activity, moving assets between your own accounts to change a ranking, and using several accounts. We may correct, reset or exclude any number we believe was manipulated, and we may remove the accounts involved.

11. Prohibited conduct

You must not use the Service to:

  • break any law or sanction, or help someone else to;
  • create fake volume, holder counts or any appearance of demand that is not real (wash trading), or manipulate the price of any token in any other way;
  • launder money, hide where funds came from, or use the Service with funds from crime;
  • run an offering of securities, an investment pool or a fundraising campaign outside the sale flow and its rules;
  • publish fraudulent, misleading or infringing token details, or impersonate a person, a project or Rugless;
  • harass, threaten or defame people, or post hateful, obscene or illegal content;
  • scrape the Service, run bots against it, probe or test its security without our written permission, reverse engineer it, or interfere with how it works;
  • exploit a bug instead of reporting it to us;
  • get around a geographic or eligibility restriction, or use the Service while in a restricted jurisdiction.

12. Community content

You keep the rights to what you post, such as your bio, avatar and posts. You give Rugless a worldwide, royalty free licence to host, show and distribute that content in the Service and to promote it. You promise you have the rights to post it. Content you put on a public blockchain cannot be removed by us.

We may moderate, hide or remove content and suspend accounts at our discretion, and we are not liable for doing so. To report content that infringes your rights, write to us at the contact address below with the details needed to find it and a statement of your rights.

13. No advice, and the risks you accept

Nothing in the Service is financial, investment, legal or tax advice, and Rugless is not registered or licensed with any financial regulator. Decisions are yours. Talk to a qualified professional where you need one.

Crypto assets are risky. In particular:

  • tokens, especially newly launched ones and memecoins, can be extremely volatile, illiquid or worth nothing, and you can lose everything you put in;
  • the networks, launchpads, wallets and smart contracts that the Service relies on can fail, be attacked or be changed;
  • Robinhood Chain is operated by third parties and can suffer downtime, delays or reorganizations;
  • rules for crypto assets change, and a change can limit or end your ability to use a token or a feature;
  • only use money you can afford to lose.

Rugless and the people who work on it may hold, buy or sell tokens that appear in the Service. We owe you no fiduciary duty.

14. Intellectual property and feedback

The Service, including its software, design, name and logo, belongs to Rugless or its licensors. We give you a limited, revocable, non-transferable licence to use it for your own personal use, under these Terms. You may not copy, modify, sell or use our name and logo without our written permission.

If you send us feedback or ideas, we may use them freely, without payment, under a perpetual and irrevocable licence.

15. Suspension and termination

We may change, suspend or stop any part of the Service at any time, and we may limit, suspend or close your account with or without notice, for example if we think you broke these Terms, if the law requires it, or to protect other people.

Access to your account, your wallet and the export feature can end or be limited at any time, so export and keep your own copy of your private key before you need it. Rugless has no obligation to give access to a wallet, to return assets or to help recover them after access ends, except where the law requires it. You may stop using the Service at any time.

16. Disclaimers

The Service is provided "as is" and "as available". To the fullest extent the law allows, Rugless gives no warranty of any kind, including about accuracy, availability, security, fitness for a purpose or that the Service will be free of errors or interruptions. Information, prices and rankings can be delayed or wrong.

Rugless is not responsible for the outcome of anything you do with the Service or with the wallet created for you. That includes gains and losses on tokens and sales, the acts of creators, launchpads and other users, and any movement of funds in your wallet.

17. Limitation of liability

To the fullest extent the law allows, Rugless and the people who work on it are not liable for any indirect, incidental, special, consequential or punitive damages, or for loss of profits, data, goodwill, tokens or other assets, arising from your use of the Service, from your wallet or from third parties, even if we were told it could happen. This includes losses caused by unauthorized access to your login accounts, your devices or your private key.

Our total liability for any claim related to the Service is limited to the greater of the fees you paid to Rugless in the 12 months before the claim and 100 US dollars. Some places do not allow these limits, and then they apply only as far as the law allows.

18. Indemnification

You agree to defend and compensate Rugless, and the people who work on it, for claims, losses and costs (including reasonable legal fees) that come from your use of the Service, your content, your tokens or sales, or your breach of these Terms or of the law.

19. Governing law and disputes

These Terms are governed by [governing law and venue to be defined]. Before starting any formal proceeding, you agree to write to us at the contact address below and to try in good faith to resolve the dispute for 60 days.

Any claim must be brought on an individual basis, and not as part of a class or collective action, to the fullest extent the law allows.

20. Changes to these Terms

We may update these Terms. The updated version takes effect when it is posted, with a new effective date. Where a change is material, we will try to tell you in the Service. If you keep using the Service after a change, you accept it. For sales, we record which version of the document you accepted.

21. General

These Terms and the Privacy Policy are the whole agreement between you and Rugless about the Service. If part of these Terms is found to be unenforceable, the rest stays in force. If we do not enforce a right, we have not waived it. You may not assign these Terms without our consent, and we may assign them to a successor.
